TERMS AND CONDITIONS

These terms govern Genesis’s marketplace services: we act as the seller‑of‑record and will list, merch, advertise, and sell supplier SKUs per the agreed Statement of Work; suppliers must provide approved samples, accurate product data, required certifications, and timely inventory to agreed locations and timelines; fees are payable as specified and refunds are limited to the money‑back guarantee which applies only when Genesis fails to make approved SKUs live within the guaranteed window and the supplier has met all obligations; delays caused by supplier non‑compliance, customs, Amazon processing, or force majeure void the guarantee; intellectual property and content created by Genesis are licensed to Genesis for marketplace use while supplier retains product ownership and underlying IP; confidentiality of commercial data is maintained but aggregated performance metrics may be used for benchmarking; either party may terminate for material breach with any outstanding obligations surviving; liability is limited to fees paid under the applicable package except for willful misconduct or gross negligence; disputes are resolved under the governing law stated in the SOW and any specific SLA metrics, exclusions, and operational details are set out in the full SOW and Supplier Agreement T&Cs.
